Licence Terms

We, Pablander Industries Pty Ltd (ABN 17 617 348 286), as Licensor, are providing you with the RadialZ software application and related components (together, the "Software") on the following Licence Terms:

Grant of Licence

1.1 Upon purchase and receipt of a valid licence key, we grant the Licensee a non-exclusive, non-transferable licence to install and use the Software on up to fifteen (15) machines, one per Authorised User.

1.2 The licence key may be used to activate the Software across up to fifteen (15) registered machines. Additional seats beyond fifteen (15) require an Enterprise Licence.

1.3 Authorised Users may use the Software for internal commercial production, including work performed for third-party clients.

1.4 You are not permitted to:

1. activate the Software on more than fifteen (15) machines simultaneously without prior written approval from the Licensor;
2. share the licence key or access to the Software with any person outside your Authorised Users;
3. sell, resell, sublicense, rent, lease, loan, or otherwise transfer the licence or any rights under it to any third party;
4. reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
5. redistribute the Software installer or any component of the Software through any channel not authorised by the Licensor;
6. use the Software, or any data generated by the Software, for the purpose of training, developing, or improving artificial intelligence systems, machine learning models, or generative neural networks.

1.5 When an Authorised User's engagement with your organisation ends, their machine activation must be deactivated. If that individual wishes to continue using RadialZ independently, they must purchase their own Individual Licence. Machine deactivations are handled by contacting Pablander Industries Pty Ltd support.

1.6 All Intellectual Property Rights in the Software are and will remain the property of Pablander Industries Pty Ltd. Nothing in this Licence transfers ownership of the Software or any part of it to the Licensee.

1.7 The Licensee and its Authorised Users retain full ownership of any radial menu configurations, brush assignments, and presets created using the Software.

Updates

2.1 This licence includes access to all Software updates within the same major version (v1.x), for all active Authorised User installations. Updates are delivered automatically via the Software's built-in update system.

2.2 Updates to future major versions (e.g. v2.0 and above) may require a separate purchase or upgrade. Any such requirement will be communicated in advance.

Activation and Validation

3.1 Each Authorised User activates the Software individually using the shared licence key. Activation registers each machine's ID against the licence record.

3.2 The Software performs a silent background validation on each launch when an internet connection is available. If no connection is available, the Software will continue to operate using the locally stored licence record.

3.3 The Licensor reserves the right to deactivate a licence key in the event of a confirmed breach of these Terms, without obligation to provide a refund.

Warranties

4.1 The Licensor warrants:

1. that the Software does not knowingly infringe the Intellectual Property Rights of any third party; and
2. we will at all times abide by Australian Consumer Law requirements in relation to the Software, including but not limited to the re-supply or refund of any goods or services in accordance with Schedule 2 of the Competition and Consumer Act 2010 (Cth).

4.2 The Licensor does not warrant:

1. that the Software will operate uninterrupted or error-free, or that it will be compatible with all system configurations, third-party software versions, or future releases of ZBrush; and
2. that the Software will be free from loss, corruption, security vulnerabilities, or other events beyond the Licensor's reasonable control. The Licensee is solely responsible for backing up configurations and data across all Authorised User machines.

Limitation of Liability

The Licensor will not be liable to the Licensee or any third party, to the extent permitted by law, in tort (including negligence), contract, equity, under statute or otherwise for any business or personal losses, such as loss of profits, data, income, revenue, pure economic loss, production, anticipated savings, or business opportunities.

We will not be liable in respect of any special, indirect, or consequential loss or damage, including any loss or corruption of data, configurations, or workflow integrations.

In any case, our aggregate liability to the Licensee will not exceed the purchase price of the Software.

Termination

This Licence is effective upon purchase and activation, and continues unless terminated. If the Licensee or any Authorised User breaches any term of this Licence, the Licensee's rights to use the Software terminate immediately and all Authorised Users must cease use and uninstall the Software from all machines. The Licensor may also remotely deactivate the licence key. Termination does not affect any rights or remedies the Licensor may have under applicable law.
